Kingdom Holding Company has completed its acquisition of a 70% stake in Al Hilal Saudi Club Company from the Public Investment Fund (PIF), after paying the full 840m Saudi riyals agreed for the transaction.
The listed company confirmed the completion of the deal through the Saudi Exchange website, saying all conditions related to the transaction had been fulfilled and the necessary regulatory approvals secured.
The takeover was carried out under a share sale and purchase agreement signed on 16 April 2026. It values the equity of Al Hilal Saudi Club Company at 1.2bn riyals, representing 100% of the company’s total equity.
Kingdom Holding said all provisions set out in the agreement had been met by 1 September 2026. These included obtaining the required regulatory approvals and no-objection certificates, as well as completing all internal conditions, according to a report by Okaz newspaper.
The company also confirmed that it had transferred 840m riyals to the Public Investment Fund. That payment represents the consideration for its 70% holding in Al Hilal Saudi Club Company and means the transaction has now been fully completed.
Kingdom Holding said the latest developments would not lead to any additional costs. It added that the financial terms had not changed, with the purchase price remaining at 840m riyals on the basis of the 1.2bn-riyal equity valuation.
The company had previously announced that it had signed the share sale and purchase agreement with the Public Investment Fund to acquire the stake in Al Hilal Saudi Club Company.
The completion of the transaction followed the fulfilment of the agreement’s conditions, including regulatory clearances, required no-objection confirmations and internal approvals. Kingdom Holding’s announcement marks the formal conclusion of the process first disclosed when the agreement was signed in April.
The 840m-riyal payment corresponds to the 70% shareholding acquired by Kingdom Holding, while the 1.2bn-riyal figure reflects the agreed valuation of the club company’s entire equity. The company said those figures remained unchanged when the deal was finalised.
